Welcome to Digital Grading Company. These Terms of Use ("Terms") govern your access to and use of our mobile application ("App"), website, and related services ("Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.


1. DEFINITIONS

  • "Company", "we", "our", or "us" refers to VALYRIAN LABS LTD, the owner and operator of the Digital Grading Company App.

  • "User", "you", or "your" refers to any individual or entity using the Services.

  • "Content" means all card images, AI-generated grading reports, market insights, collection data, and any other materials provided within the App.

  • "Subscription" refers to any recurring paid plan offered for premium access.

  • "Low-Value Card" refers to a card with minimal market value as determined by our AI algorithms.


2. ACCEPTANCE OF TERMS

By downloading, installing, or using the App or Services, you confirm that:

  • You are at least 13 years old (16+ in some jurisdictions).

  • You agree to comply with these Terms.

  • You have the authority to enter into a binding agreement with us.


3. LICENSE TO USE

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for personal, non-commercial use. You may not:

  • Copy, decompile, reverse-engineer, or modify any part of the Services.

  • Use the Services for illegal purposes.

  • Exploit, resell, or distribute any part of the Services.


4. ACCOUNT REGISTRATION & SECURITY

To access certain features, you may be required to register for an account. You agree to:

  • Provide accurate and complete information.

  • Maintain the confidentiality of your account credentials.

  • Notify us immediately of unauthorized use.

You are responsible for all activities that occur under your account.


5. SUBSCRIPTIONS, PAYMENTS, & REFUNDS

We offer the following subscription plans:

  • Weekly: $5.99/week

  • Monthly: $19.99/month

  • Annual: $129.99/year

All subscriptions auto-renew unless cancelled at least 24 hours prior to the end of the current billing cycle. Payments are processed via the App Store.

Refunds will not be issued unless legally required.


6. INTELLECTUAL PROPERTY

All content, branding, AI models, grading logic, and platform design are the intellectual property of VALYRIAN LABS LTD.

You retain ownership of your uploaded card images but grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, and improve our services using your uploads, including for research and machine learning training.


7. AI GRADING & INSIGHT LIMITATIONS

Our AI uses advanced models to estimate grades, assess market conditions, and provide strategic recommendations. However:

  • These are not official grades from third-party graders.

  • Market values are subject to change and not guaranteed.

  • AI insights should be used at your own discretion.

We do not guarantee:

  • That a card will receive the same grade from any third-party service.

  • That market values or advice provided are financially beneficial.


8. HANDLING OF LOW-VALUE (BULK) CARDS

Our platform allows the submission of all card types within supported categories. However, the AI system determines whether a card qualifies for full analysis based on a dynamic minimum market value threshold.

8.1 What Qualifies as a Low-Value Card

A "Low-Value Card" is defined as:

  • A card whose current average market value falls below our analysis threshold.

  • Typically bulk or common cards with no resale demand.

8.2 What Happens With These Cards

If a submitted card is identified as low-value:

  • ✅ It will be scanned and identified.

  • ✅ It can be added to your in-app collection for tracking.

  • ⚠️ It will not receive:

    • Full grading breakdown (centering, corners, etc.)

    • Market insights or investment advice

    • Buy/sell recommendations

  • ❌ It may be excluded from pricing estimates and rarity scoring.

8.3 Rationale

This allows us to:

  • Prioritize meaningful insights where it matters most

  • Maintain system efficiency

  • Avoid unnecessary user confusion

The market value threshold is proprietary and may change over time. Low-value cards may qualify for full insights in the future if demand shifts.


9. USER CONTENT AND RIGHTS

You agree not to upload:

  • Inappropriate, misleading, or harmful content

  • Counterfeit, fake, or proxy cards

  • Material that infringes on third-party intellectual property

We reserve the right to remove content, restrict access, or terminate accounts that violate these terms.


10. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • We are not liable for any loss, damage, or misjudgment from AI grading or market data.

  • We do not guarantee investment outcomes.

  • Maximum liability is limited to the amount you paid for the Services in the last 12 months.


11. MODIFICATIONS TO SERVICE

We reserve the right to:

  • Update or discontinue any part of the Services

  • Modify these Terms

  • Change supported card types or AI thresholds at any time

Changes will be posted in-app or on our website. Continued use after updates constitutes acceptance.


12. THIRD-PARTY SERVICES

Our Services may link to or integrate with third-party platforms (e.g., marketplaces, social media, app stores). We are not responsible for their terms, policies, or behavior.


13. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of England and Wales. You agree to resolve disputes through binding arbitration in London, UK. You waive any right to participate in class actions.
